By accessing or using any service, product, or software provided by Mac Murlach Software Engineering Pty Ltd (ABN 50 681 086 519) ("MMSE", "we", "us", or "our"), including but not limited to ARIES, GEMINI, and associated tools hosted at macmurlachse.com and macmurlachse.com ("the Site"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.
MMSE provides custom software engineering services and productivity tools to businesses and individuals, including:
Services may be provided on a project basis, as licensed software, or as ongoing support arrangements, subject to separate written agreements.
All software, code, content, designs, and materials produced by MMSE remain the intellectual property of MMSE unless explicitly transferred to the client under a written agreement. Upon full payment of agreed fees, clients receive a licence to use delivered software for their intended business purposes. Source code ownership transfer requires a specific written agreement to that effect.
You must not reverse engineer, copy, redistribute, sublicence, or resell any MMSE product or software without prior written consent.
Clients engaging MMSE for software development or services agree to:
Access to tools hosted at macmurlachse.com is subject to account registration where applicable. You are responsible for maintaining the confidentiality of your credentials. MMSE reserves the right to suspend or terminate access for breach of these Terms or misuse of the platform.
These tools are provided for legitimate business productivity and team management purposes. You must not attempt to access data belonging to other users or interfere with the operation of the platform.
Unless otherwise agreed in writing, invoices are payable within fourteen (14) days of issue. MMSE reserves the right to suspend services for accounts with overdue payments. Late payment interest may be charged at 2% per month on outstanding balances after the due date.
To the maximum extent permitted by Australian law, MMSE's total liability to you for any claim arising from or related to our services is limited to the total fees paid by you to MMSE in the three (3) months preceding the claim.
MMSE is not liable for any indirect, incidental, special, or consequential loss including loss of data, loss of revenue, or loss of business opportunity, even if advised of the possibility of such loss.
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
Both parties agree to keep confidential any proprietary, technical, or business information disclosed during an engagement. MMSE will not disclose client data, business processes, or project details to third parties without your consent, except as required by law.
Either party may terminate a services engagement with 14 days written notice. Upon termination, all outstanding fees for work completed to that point become immediately payable. MMSE will deliver all completed work product upon receipt of final payment.
These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.
MMSE may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated via email to registered users where applicable.
